An own-initiative report on a 14th company law directive on the cross-border transfer of company seats. The amendments revise recitals and recommendations on freedom of establishment for companies, the separation of registered office and real seat, preventing abuse, fraud and shell companies, protecting creditors, minority shareholders and employees, employee participation rights modelled on the directive on the involvement of employees in European companies, consultation reports before the general meeting, legal remedies with suspensive effect, and verification of the transfer's legality.
